These B2B Terms and Conditions (“Terms”) govern access to the website, quotations, purchase orders, sales, products, services, accounts, and transactions offered or processed by NMH Tech, Inc. (“NMH Tech,” “NMH,” “we,” “us,” or “our”).

NMH Tech operates primarily as a business-to-business (B2B) ecommerce supplier, reseller, and procurement partner serving commercial businesses, government agencies, educational institutions, healthcare organizations, nonprofit organizations, government contractors, resellers, and other professional and institutional purchasers.

By accessing our website, creating an account, requesting a quotation, submitting a purchase order, placing an order, making payment, or accepting products from NMH Tech, the Customer agrees to these Terms.

NMH Tech is a B2B ecommerce supplier, reseller, and procurement partner providing products and sourcing solutions for professional, commercial, government, institutional, and public-sector customers.

Our product portfolio includes, but is not limited to:

  • Computers and computer hardware

  • Servers and data-center equipment

  • Networking equipment

  • Information technology products

  • Software and licensing

  • Office supplies

  • Industrial products and supplies

  • Medical products and supplies

  • Related accessories, equipment, and services

Products may be supplied directly by NMH Tech or fulfilled through manufacturers, authorized distributors, warehouses, logistics providers, and other supply-chain partners.


3. Business and Institutional Customers

These Terms are primarily intended for transactions involving:

  • Commercial businesses

  • Federal government agencies

  • State and local government organizations

  • Educational institutions

  • Healthcare organizations

  • Nonprofit organizations

  • Public-sector entities

  • Government contractors

  • Resellers

  • Professional and institutional purchasers

A person placing an order, accepting a quotation, establishing an account, or submitting a Purchase Order (“PO”) on behalf of an organization represents that they are authorized to act on behalf of and bind that organization.

Where NMH Tech permits a purchase by an individual customer, nothing in these Terms limits any rights that cannot legally be waived under applicable law.


4. Customer Accounts and Information

Customers must provide accurate, complete, and current:

  • Business or organization name

  • Contact information

  • Billing information

  • Shipping information

  • Tax-exemption documentation, when applicable

  • Payment information

  • Purchase-order information

  • End-user or end-use information when required

  • Other information reasonably necessary to process the transaction

Customers are responsible for maintaining the confidentiality of account credentials and for activity conducted through their accounts.

NMH Tech may suspend or terminate accounts associated with fraud, misuse, inaccurate information, chargeback abuse, unlawful activity, security threats, or violations of these Terms.


5. Product Information

NMH Tech makes commercially reasonable efforts to provide accurate:

  • Product titles

  • Descriptions

  • Specifications

  • Manufacturer part numbers

  • Images

  • Pricing

  • Availability

  • Compatibility information

  • Manufacturer information

Product images may be representative and may not show the exact packaging, accessories, configuration, revision, color, or components supplied.

Manufacturers may change product specifications, packaging, components, model revisions, country of origin, features, or other characteristics without prior notice.

Where website information differs from current manufacturer specifications, the manufacturer's current specifications generally control.

The Customer is responsible for confirming product compatibility, specifications, quantities, licensing requirements, regulatory requirements, intended use, and suitability before ordering.


6. Availability

Product availability displayed on the website is based on information available to NMH Tech from its own inventory, manufacturers, distributors, warehouses, and supply-chain partners.

Availability may change without notice.

An item displayed as available or in stock does not constitute a guarantee that inventory will remain available until the order has been accepted and allocated.

NMH Tech may offer substitute availability, revised lead times, backorder options, partial fulfillment, or cancellation when inventory changes after an order is submitted.


7. Pricing

All prices are stated in United States dollars (USD) unless expressly stated otherwise.

Prices may change without notice due to:

  • Manufacturer pricing changes

  • Distributor pricing

  • Inventory availability

  • Freight costs

  • Tariffs

  • Duties

  • Currency fluctuations

  • Market conditions

  • Supply-chain conditions

  • Pricing or data errors

Prices shown online apply to standard purchases unless separate contract, volume, government, project, or negotiated pricing has been approved.


8. B2B Volume and Contract Pricing

NMH Tech may provide special pricing for:

  • Bulk purchases

  • Volume orders

  • Government purchases

  • Educational institutions

  • Healthcare organizations

  • Contract purchases

  • Project requirements

  • Recurring supply requirements

  • Resellers

  • Qualified business accounts

Customers seeking special pricing may submit a Request for Quote (RFQ).

Quoted or negotiated pricing may differ from standard website pricing.


9. Quotations

Written quotations are generally valid for 30 calendar days from the quotation date unless another validity period is stated.

Quotations are subject to:

  • Product availability

  • Manufacturer or distributor pricing

  • Credit approval where applicable

  • Shipping and freight requirements

  • Taxes

  • Manufacturer restrictions

  • Compliance requirements

A quotation does not reserve inventory unless NMH Tech expressly confirms inventory reservation in writing.

NMH Tech may withdraw or revise a quotation before order acceptance if there is a material pricing error, product discontinuation, availability change, manufacturer restriction, or other circumstance that makes fulfillment commercially impracticable.


10. Orders and Order Acceptance

Submitting an online order, Purchase Order, RFQ acceptance, or other purchase request constitutes an offer to purchase.

An automated website or email confirmation acknowledges receipt of the order but does not necessarily constitute final acceptance.

An order may be considered accepted when NMH Tech:

  • Issues a formal order confirmation;

  • Processes or captures payment;

  • Allocates or obtains products for fulfillment;

  • Submits a noncancelable order to a supplier; or

  • Ships the products.

NMH Tech reserves the right to decline, limit, hold, or cancel orders for legitimate business reasons, including:

  • Product unavailability

  • Pricing or catalog errors

  • Payment problems

  • Credit concerns

  • Fraud or security concerns

  • Manufacturer restrictions

  • Export restrictions

  • Sanctions requirements

  • Account status

  • Quantity limitations

  • Compliance concerns

If NMH Tech cancels a prepaid order before shipment, applicable amounts paid for the cancelled products will be refunded.


11. Purchase Orders

NMH Tech accepts Purchase Orders from qualified business, government, education, healthcare, and institutional customers subject to account approval and applicable payment terms.

A Customer Purchase Order does not automatically override these Terms.

Additional or conflicting terms appearing on a Customer's PO or other purchasing document are rejected unless expressly accepted in writing by an authorized representative of NMH Tech.


12. Payment Terms

Payment is due according to the applicable:

  • Website checkout

  • Quotation

  • Invoice

  • Order confirmation

  • Purchase agreement

  • Approved credit terms

NMH Tech may require full or partial payment before ordering, allocating, configuring, licensing, or shipping products.

Payment methods may include credit card, ACH, wire transfer, check, or other payment methods approved by NMH Tech.

Orders paid by check, ACH, electronic transfer, or wire transfer may be held until funds have cleared.


13. Business Credit and Net Terms

Approved business and institutional customers may qualify for credit or Net payment terms.

Credit terms are:

  • Subject to approval;

  • Not automatically available to every Customer;

  • Subject to credit limits and account status; and

  • Revocable or adjustable at NMH Tech's discretion.

NMH Tech may suspend credit privileges, shipments, or account access when invoices become overdue.

Customers are responsible for reasonable costs associated with unsuccessful payments, returned payments, bank charges, wire-transfer fees, and collection of overdue balances to the extent permitted by law.


14. Credit Card Processing Surcharge

Where permitted by applicable law and applicable card-network rules, NMH Tech may impose a credit-card processing surcharge of up to 3% on eligible credit-card transactions.

Any applicable surcharge will be disclosed before the transaction is completed.

The surcharge will not exceed the amount permitted by applicable law or applicable payment-network requirements.

No surcharge will be imposed on debit-card or prepaid-card transactions where prohibited.


15. Taxes

Product prices generally exclude applicable:

  • Sales tax

  • Use tax

  • Excise tax

  • Duties

  • Customs charges

  • Governmental fees

  • Similar assessments

Applicable taxes may be calculated based on the Customer's shipping destination, product type, tax status, and applicable law.

Qualified tax-exempt Customers must provide a complete and valid exemption certificate before the applicable transaction is processed.

Tax exemptions will not be applied retroactively unless required by applicable law.

Customers remain responsible for taxes, duties, assessments, or governmental charges that NMH Tech is not legally required to collect.


16. Shipping Charges

Shipping, freight, handling, insurance, hazardous-material charges, liftgate service, inside delivery, residential delivery, appointment delivery, expedited shipping, and other special-delivery services may incur additional charges unless expressly stated otherwise.

Shipping and freight charges may be based on:

  • Shipment weight

  • Dimensions

  • Destination

  • Carrier

  • Service level

  • Warehouse location

  • Product type

  • Special handling requirements

Customers may provide their own valid carrier or freight account when approved by NMH Tech.


17. Free Shipping

Free Standard Shipping on Eligible Orders Over $500

Free shipping eligibility may exclude certain:

  • Freight shipments

  • Oversized products

  • Heavy products

  • Special-order products

  • Hazardous materials

  • Expedited shipments

  • Products requiring special handling or delivery services

  • Manufacturer-direct shipments where special freight charges apply

Applicable shipping charges and eligibility will be displayed during checkout, provided in the applicable quotation, or communicated before the order is finalized.

Free shipping applies only where expressly offered by NMH Tech.


18. Shipping and Fulfillment

NMH Tech may select the:

  • Carrier

  • Shipping service

  • Shipping origin

  • Warehouse

  • Distributor

  • Route

  • Fulfillment location

unless otherwise agreed in writing.

Products may ship directly from manufacturers or distributors.

Orders containing multiple products may be shipped from multiple fulfillment locations and arrive separately.

NMH Tech may make partial shipments, and each shipment may be invoiced separately where appropriate.


19. Delivery Time

Standard in-stock orders are generally scheduled for delivery within five business days following:

  • Order acceptance

  • Payment clearance

  • Receipt of required information

  • Completion of any necessary fraud, credit, export, or compliance verification

The five-business-day delivery estimate may not apply to:

  • Backordered products

  • Special-order products

  • Customized products

  • Configured systems

  • Software requiring manufacturer registration

  • Manufacturer-direct shipments

  • Products with manufacturer lead times

  • Freight shipments requiring appointments

  • Other products requiring special processing

Business days are Monday through Friday, excluding applicable U.S. federal holidays.


20. Delivery Estimates and Delays

Delivery dates are reasonable estimates unless NMH Tech expressly guarantees a specific delivery date in writing.

NMH Tech is not responsible for delays resulting from circumstances beyond its reasonable control, including:

  • Carrier delays

  • Severe weather

  • Natural disasters

  • Transportation interruptions

  • Labor disputes

  • Manufacturer delays

  • Distributor delays

  • Supply-chain disruptions

  • Government actions

  • Import or export restrictions

  • Incorrect addresses

  • Customer unavailability

  • Other force-majeure events

NMH Tech will make commercially reasonable efforts to communicate material delays.


21. Delivery Address and Customer Responsibility

Customers are responsible for providing complete and accurate:

  • Delivery addresses

  • Recipient names

  • Telephone numbers

  • Email addresses

  • Loading-dock information

  • Delivery restrictions

  • Appointment requirements

  • Receiving instructions

Customers may be responsible for additional charges resulting from:

  • Incorrect addresses

  • Address corrections

  • Refused deliveries

  • Failed delivery attempts

  • Reconsignment

  • Redelivery

  • Storage

  • Limited-access locations

  • Customer-requested changes

NMH Tech may require signatures, identification, delivery appointments, or other verification for certain orders.


22. Title and Risk of Loss

Unless otherwise required by applicable law or expressly agreed in writing, products are shipped FOB shipping point.

Title and risk of loss generally pass to the Customer when the products are properly tendered to the carrier at the shipping origin.

When the Customer provides its own carrier or freight account, the Customer assumes responsibility for transportation charges and applicable carrier claims once the shipment is tendered to the carrier.


23. Inspection, Shortages, and Shipping Damage

Customers should inspect deliveries promptly.

Visible damage, concealed damage, missing cartons, shortages, incorrect products, or quantity discrepancies should be reported to NMH Tech within five business days after delivery.

Customers should retain:

  • Original packaging

  • Shipping cartons

  • Labels

  • Packing materials

  • Photographs

  • Delivery receipts

  • Damaged products

until the claim is resolved.

Visible freight damage should be noted on the carrier's delivery receipt whenever reasonably possible.


24. Return Period

Eligible products may be returned within 30 calendar days after delivery, subject to this policy.

A Return Merchandise Authorization (RMA) must be obtained before returning a product.

Unauthorized returns may be refused.

Customers should provide their:

  • Order number or PO number

  • Product part number

  • Quantity

  • Serial number when applicable

  • Reason for return

Issuance of an RMA does not guarantee approval of a refund or credit.


25. Return Conditions

Eligible returned products must generally:

  1. Be unused and uninstalled;

  2. Be unaltered and in resalable condition;

  3. Include original manufacturer packaging;

  4. Include manuals and documentation;

  5. Include accessories, cables, and components;

  6. Include applicable licenses and warranty cards;

  7. Have intact serial numbers, UPCs, labels, and security seals;

  8. Be appropriately packaged for return transportation; and

  9. Include the authorized RMA information.

NMH Tech may refuse or reduce credit for products that are incomplete, used, installed, damaged, altered, or otherwise not in resalable condition.


26. Restocking Fee

Approved standard returns are subject to a 20% restocking fee, calculated against the product purchase price before taxes and shipping.

The restocking fee generally does not apply when NMH Tech confirms that the return resulted solely from:

  • NMH Tech shipping an incorrect product;

  • A verified product defect existing at delivery;

  • A material product-description error by NMH Tech; or

  • Another circumstance where applicable law prohibits the fee.


27. Return Shipping

Customers are responsible for return:

  • Shipping

  • Freight

  • Insurance

  • Packaging

  • Transportation costs

unless the return results from a verified NMH Tech shipping error or another circumstance for which NMH Tech accepts responsibility.

Original shipping, freight, handling, expedited shipping, installation, insurance, and special-service charges are generally nonrefundable unless required by law or resulting from a verified NMH Tech error.


28. Refund Processing

Approved refunds are generally processed within five business days after the returned product has been received, inspected, and accepted by NMH Tech or its authorized fulfillment partner.

Refunds are normally issued to the original payment method.

Additional processing time imposed by banks, card issuers, payment processors, manufacturers, or distributors is outside NMH Tech's control.


29. Nonreturnable Products

The following products may be final sale and nonreturnable unless incorrectly supplied, defective at delivery, or otherwise returnable under applicable law:

  • Activated software

  • Downloaded software

  • Electronically delivered software

  • Software licenses

  • Activation keys

  • Subscriptions

  • Cloud services

  • Support contracts

  • Special-order products

  • Custom-order products

  • Configured products

  • Built-to-order systems

  • Personalized or modified products

  • Manufacturer-restricted products

  • Products identified as final sale

  • Clearance products

  • Certain discontinued products

  • Opened consumables

  • Ink and toner

  • Batteries

  • Printheads

  • Opened sterile medical products

  • Hygiene-sensitive products

  • Certain diagnostic products

  • Patient-contact products

  • Products damaged by misuse or improper installation

  • Products missing required serial numbers, packaging, components, or accessories

Product-specific return restrictions may also be stated on the product page, quotation, order confirmation, or invoice.


30. Order Changes and Cancellations

Customers should request order changes or cancellations immediately.

NMH Tech cannot guarantee cancellation after an order has been:

  • Accepted

  • Allocated

  • Submitted to a manufacturer or distributor

  • Configured

  • Licensed

  • Processed

  • Shipped

Special-order, custom, configured, activated, licensed, downloaded, or manufacturer-restricted products may be noncancelable once processing begins.

If NMH Tech incurs nonrecoverable costs before an approved cancellation, the Customer may be responsible for such costs to the extent permitted by law.


31. Defective Products

Customers should report suspected defective products promptly.

NMH Tech may request:

  • Troubleshooting information

  • Photographs

  • Serial numbers

  • Diagnostic information

  • Manufacturer case numbers

  • Other information reasonably necessary to evaluate the claim

NMH Tech may direct the Customer to the manufacturer or authorized warranty provider where manufacturer-direct warranty service applies.

A product is not necessarily defective merely because it is incompatible with the Customer's equipment, software, network, environment, or intended application when the product otherwise conforms to its specifications.


32. Manufacturer Warranties

Most products are covered, if at all, by the applicable manufacturer's warranty.

Warranty duration, coverage, exclusions, registration requirements, repair procedures, replacement procedures, and technical support are determined by the manufacturer.

Unless NMH Tech expressly provides a separate written warranty, manufacturer warranties are provided by the applicable manufacturer and not by NMH Tech.


33. Software, Licenses, and Digital Products

Software, subscriptions, cloud services, digital products, and licenses are subject to the applicable publisher's or manufacturer's:

  • License agreement

  • End-user license agreement

  • Subscription terms

  • Acceptable-use policy

  • Privacy policy

  • Service terms

Customers are responsible for verifying:

  • Licensing quantities

  • Compatibility

  • User requirements

  • Geographic restrictions

  • Renewal terms

  • Subscription duration

  • System requirements

Software and digital products may become noncancelable and nonreturnable once activated, registered, delivered electronically, assigned, downloaded, or otherwise fulfilled.


34. Medical and Healthcare Products

NMH Tech is a reseller and does not provide medical advice, diagnosis, treatment, clinical recommendations, or professional healthcare services.

Customers are responsible for ensuring that medical products are purchased, stored, installed, maintained, prescribed, administered, and used by appropriately qualified personnel and in accordance with manufacturer instructions and applicable law.

Opened sterile, diagnostic, hygiene-sensitive, protective, or patient-contact products may be nonreturnable.


35. Government and Institutional Procurement

NMH Tech supports federal, state and local government agencies, educational institutions, healthcare organizations, public-sector entities, and government contractors.

Customers are responsible for providing applicable:

  • Purchase Orders

  • Contract numbers

  • Delivery instructions

  • Funding information

  • Tax-exemption documentation

  • End-user information

  • Procurement clauses

  • Compliance requirements

  • Special delivery requirements

Government-specific or Customer-specific contractual terms must be expressly incorporated into NMH Tech's accepted quotation, order confirmation, or separately executed agreement to become part of the transaction.


36. Resellers

Customers purchasing products for resale are responsible for:

  • Obtaining applicable resale certificates;

  • Complying with manufacturer resale restrictions;

  • Maintaining required licenses and registrations;

  • Complying with applicable tax requirements; and

  • Complying with applicable export, sanctions, and distribution requirements.

NMH Tech may request documentation necessary to validate reseller status.


37. Export Controls and Lawful Use

Customers must use, transfer, export, re-export, distribute, and resell products in compliance with applicable:

  • United States export-control laws

  • Sanctions

  • Licensing requirements

  • Manufacturer restrictions

  • Destination-country regulations

NMH Tech may request:

  • End-user information

  • End-use information

  • Destination information

  • Export documentation

  • Resale documentation

  • Identity verification

NMH Tech may refuse, hold, or cancel transactions presenting legal, sanctions, fraud, compliance, export-control, manufacturer-restriction, or other material business risks.


38. Fraud Prevention and Order Verification

NMH Tech may perform reasonable fraud, identity, payment, account, billing-address, shipping-address, and transaction verification.

Additional documentation or verification may be requested for certain transactions.

NMH Tech may delay, decline, or cancel an order when verification cannot be satisfactorily completed.


39. Intellectual Property

NMH Tech's company name, logos, website layout, original text, graphics, databases, software, and other proprietary content are protected by applicable intellectual-property laws.

Manufacturer trademarks, names, logos, specifications, images, and product information remain the property of their respective owners and are used for product identification and descriptive purposes.

Customers may not, without authorization:

  • Scrape website content;

  • Reproduce proprietary content;

  • Republish proprietary databases;

  • Reverse engineer website systems;

  • Commercially exploit proprietary website content.


40. Electronic Communications

By providing an email address, telephone number, or other contact information, the Customer agrees to receive transactional communications relating to:

  • Quotations

  • Accounts

  • Orders

  • Payments

  • Shipping

  • Delivery

  • Returns

  • Security

  • Customer support

  • Service notices

Customers are responsible for maintaining accurate contact information.


41. Warranty Disclaimer

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, EXCEPT FOR EXPRESS WRITTEN WARRANTIES PROVIDED BY NMH TECH.

NMH TECH DISCLAIMS IMPLIED WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • COMPATIBILITY

  • SYSTEM INTEGRATION

  • TITLE

MANUFACTURER WARRANTIES, WHEN AVAILABLE, ARE PROVIDED BY THE APPLICABLE MANUFACTURER.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.


42. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NMH TECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, SUPPLIERS, DISTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION:

  • LOSS OF PROFITS

  • LOSS OF REVENUE

  • LOSS OF DATA

  • LOSS OF USE

  • BUSINESS INTERRUPTION

  • LOSS OF CONTRACTS

  • PROCUREMENT OF SUBSTITUTE PRODUCTS

  • LOST BUSINESS OPPORTUNITY

  • REPUTATIONAL DAMAGE

TO THE FULLEST EXTENT PERMITTED BY LAW, NMH TECH'S TOTAL LIABILITY ARISING FROM A PRODUCT, ORDER, SERVICE, OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO NMH TECH FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Nothing in this section excludes liability that applicable law does not permit the parties to exclude.


43. Indemnification

To the extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless NMH Tech and its officers, directors, employees, representatives, suppliers, distributors, and service providers from third-party claims, liabilities, damages, penalties, losses, and reasonable expenses arising from:

  • Customer's unlawful use of products;

  • Improper installation or modification;

  • Unlawful resale or distribution;

  • Export or sanctions violations;

  • Violation of these Terms;

  • Violation of applicable law;

  • Inaccurate information supplied by the Customer;

  • Misuse of the Customer's account;

  • Infringement of third-party rights.

This provision does not require indemnification for NMH Tech's own conduct where prohibited by applicable law.


44. Force Majeure

NMH Tech will not be liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including:

  • Natural disasters

  • Severe weather

  • Fire or flood

  • Epidemics or pandemics

  • War

  • Terrorism

  • Civil unrest

  • Labor disputes

  • Transportation interruptions

  • Carrier failures

  • Cyberattacks

  • Utility failures

  • Supplier shortages

  • Manufacturer delays

  • Government actions

  • Embargoes

  • Sanctions

  • Import or export restrictions

  • Tariffs

  • Communication-system failures

  • Payment-system failures

  • Other significant supply-chain disruptions


45. Governing Law

These Terms and transactions with NMH Tech are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable federal law or other non-waivable law applies.


46. Jurisdiction and Venue

Unless applicable law or an executed government contract requires otherwise, legal actions arising from these Terms or transactions with NMH Tech must be brought in:

  • A state court of competent jurisdiction located in Fairfax County, Virginia; or

  • The United States District Court for the Eastern District of Virginia, Alexandria Division.

Each party consents to the jurisdiction of those courts to the extent permitted by law.


47. Order of Precedence

If contractual documents conflict, the following order of precedence applies unless expressly agreed otherwise:

  1. A separately negotiated written agreement signed by an authorized representative of NMH Tech;

  2. NMH Tech's written order confirmation;

  3. NMH Tech's written quotation;

  4. These B2B Terms and Conditions;

  5. The Customer's Purchase Order.

Additional or conflicting Customer PO terms are not binding unless expressly accepted by NMH Tech in writing.


48. Assignment

The Customer may not assign or transfer an order, account, agreement, or rights under these Terms without NMH Tech's prior written consent.

NMH Tech may assign its rights or obligations in connection with a merger, acquisition, restructuring, sale of assets, financing, transfer to an affiliate, or transfer to a successor.


49. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain effective.


50. No Waiver

Failure by NMH Tech to enforce any provision or exercise any right does not constitute a waiver of that provision or right.

A waiver is effective only when provided in writing by an authorized representative of NMH Tech.


51. Entire Agreement

These Terms, together with the applicable:

  • Quotation

  • Order confirmation

  • Invoice

  • Accepted written agreement

  • Manufacturer license terms

constitute the agreement governing the applicable transaction.

No verbal statement modifies these Terms unless confirmed through an applicable written agreement by an authorized representative of NMH Tech.


52. Changes to These Terms

NMH Tech may revise these Terms periodically.

Updated Terms apply prospectively from their stated effective date and do not retroactively modify an already accepted transaction unless required by law or agreed by the parties.

Continued use of the website or placement of a new order after revised Terms become effective constitutes acceptance of the revised Terms.
